租船谈判流程 租船谈判可分为两个阶段：所谓的主要条款谈判和租约细节谈判。 实盘（Firm Offers） 当船东认为得到的租船意向值得考虑时，他将答复租船经纪人或是直接答复租船人。如果订租信息来自于多个经纪人，那么船东通常会选择最先提供消息的经纪人。如果几个经纪人几乎同时提供此消息，那么船东将选择与租船人关系密切的经纪人进行谈判。在通常的租船实务中，船东往往不可以随意另选“渠道”而代替已经准备谈判的租船意向。 如果某一订租要求极可能达成交易，船东将考虑立即报予“实盘”。即使该笔交易众所周知，运价基本敲定，与此同时船的大小、位置都能很好的满足租家的要求，船东也要报出实盘。面对市场竞争，特别是处在货运市场萧条的时候，船东也会选择这种直接的“承诺（实盘）”。通过市场调查分析报告以及其他信息来源，船东可以直观的了解当前的市场行情，很明显这些信息也将极大程度的影响船东做出的发盘决定。 另一种经常使用的方法，即针对某一具体的租船要求（地理位置、航行计划），船东提供其船舶的相关描述及营运能力，并且建议租家提供对船舶的使用要求及运费、租金等相关意向。这种情况通常发生在船舶本身或是船舶当前所处位置不能很好的满足租家的要求（比如船期稍晚、船舶稍小或是因为该笔交易尚无市场标准，另外就是船东希望优先获悉租家对于运费租金的想法和接受能力）。 最终，船东更倾向给出一种类似于报实盘的发盘方式（indication），而不发实盘，而这样他们对于所提到的条款及事宜就不需承担相关责任。无论如何这样的发盘也可以使租家了解船东对于一桩可能发生的谈判的出发点。这样的发盘往往没有时间限制，于是双方都不受约束。然而，这样的发盘从道德上讲仍是要承担责任的，如果接下来双方进行了确实的谈判，船东同样应该坚持这样的道德准则。 另一种促成谈判的方法就是租家向船东报出实盘。 实盘中包括的细节（Details included in Firm Offers） 在航次租船中，促成谈判开始的首次发盘通常包括以下的细节： -船名及船舶的详细说明 -船东全称 -租家全称 -货物数量及相关描述 -装卸港口及泊位 -受载期/销约日 -装卸效率及相关条款 -滞期费率和速遣费率 -运费及支付条件 -时间计算条款、冰冻条款、战争险条款、燃油条款、附加险条款、税费条款以及其他

租船经纪人的感化 租船经纪人主要提供以大宗散杂货为主的租船、揽货、订舱、船舶买卖、信息咨询等业务的中介服务。船舶经纪有很强的行业特点并必须遵照一定的国际惯例。船货双方就货物运输洽谈租船、订舱或包运等业务与一般的商品买卖或股票交易不同。除了运价的高低，它还涉及货物的配载、船型选择、装卸港条件、航区特点、贸易合同对运输的特殊要求、运费的支付方式、延滞、速遣费率及计算方法及船方对货物的照料责任和免责等等。期租合同下，还涉及交船、还船、燃油、租金支付等一系列复杂条件。货主与船东如果在没有高效的信息网络和通晓专门经纪知识的人才运作的前提下来完成以上工作是不可能的。租船经纪人的业务范围无地域限制，其在全球范围向客户提供航运市场的船货信息，传递合同意向，促成运输合同的订立，并代为起草合同供双方当事人签署。通常其是无权在运输协议上代表任何一方签约，完全是中介行为，只收取佣金。大部分租船经纪人都受过良好的教育，熟悉国内外航运业务，掌握国内外航运信息，具有较高的英语水平，并具有高尚的职业道德和敬业精神。 第一节租船经纪人业务内容简介 为了探讨租船经纪人的作用和法律地位等问题，在此有必要首先了解一下租船经纪人的业务操作程序。 租船经纪人业务操作程序一般如下: 一、接待、开发客户 租船经纪人一定要有自己的客户群，否则很难开展业务。他们一般通过打电话或上门访问的形式来接触客户(船东或是租船人)、寻找货源或是船源。一些规模较大、历史悠久、信誉良好的租船经纪公司在开发客户方面较为容易被客户接受。二、询价
租船经纪人按照客户的指示将货源信息或船舶舱位信息整理后通过一定的渠道发送到市场上。某些较大的租船公司都有很广泛的网络，可以在极短的时间内将有关信息送到每一个潜在的船东或是其他经纪人那里。 三、谈判 对收到的反馈信息进行筛选，然后进行初步接触，并将潜在的候选名单通知客户。初步接触后，按照客户的指示开始进行实质性谈判，对合同的具体条款，例如，运费、装卸时间等等，尽量按照客户所提出的要求达成初步协议;如果无法达到客户的要求，应当及时通知委托人并向其提出自己的意见。达成初步协议后租船经纪人负责制订租船确认书(Fixture Note)。 四、签订租船合同 编制租船确认书并得到双方当事人的确认后就可以制订租船合同了。租船人收到租船合同后若发现与原确认书内容有不符的地方，会及时通知经纪人予以改正;如果没有问题就可以签字。有些航次租约下的装货日期较近，往往还没有签订正式的租船合同，船舶早已在装货港开始装货。我在调研中发现短航次的租船运输大多数情况下只要制订租船确认书就可以了，很少有人一定要求签订租船合同。但国内的大部分租船人还是要求签订租船合同，原因并非是担心船东会违约，而是为了能凭租船合同从银行换取外汇来支付运费以及作为出口退税的凭证. 五、协助租船合同的履行 签订租船合同或编制租船确认书后，租船经纪人还要协助双方当事人履行合同。装船前，向船东询问船舶动态并通知租船人，以便租船人机动的安排货物、同港口当局协调;装船后协助船东计算运费并向租船人寄发运费发票;卸货完毕后计算是否产生滞期费和速遣费等等。 第二节租船经纪人对租船人的作用
