根据《中华人民共和国合同法》、《上海市房屋租赁条例》(以下简称:《条例》)的规定,甲、乙双方在平等、自愿、公平和诚实信用的基础上,经协商一致,就乙方承租甲方可依出租(出租)的商品房(房屋/商品房)事宜,订立本合同。

In accordance with the Laws of Contract of the People?s Republic of China and the Tenancy Regulations of the Shanghai Municipality (hereinafter referred to as “the Provisions”), Party A and Party B, having reached an a greement based on the principles of equality, willingness and mutual benefit, hereby enter into this Contract on matters in relation to the Lease of the Property by Party A to Party B.

一、出租房屋情况

Condition of the Lease or Pre-Lease Property

1-1甲方出租(出租)给乙方的房屋座落在本市区(区/县)弄(弄/新村)(号/幢)室(部位)(以下简称该房屋)。该房屋实测

(【出租】实测)建筑面积为平方米,房屋用途住宅,房屋结构为钢混。甲方已向乙方出示:

Party A shall lease Party B the Property situated at District, Shanghai (hereinafter referred to as “the Property”). The total gross area of the Lease Property shall be square meters, the purpose of the Land shall be for Residential, the structure shall be Consolidated Building. See Appendix 1 of this Contract for the floor plan of the Property. Party A has already presented to Party B:

1-2甲方作为该房屋的房地产权利人(房地产权利人/代管人/法律规定的其他权利人)

与乙方建立租赁关系。签订本合同前,甲方已告知乙方该房屋已(已/未)设定抵押。

Party A being the Owner of the Property and Party B have developed a

lessor/lessee relationship. Before the signing of this Contract, Party A has already

informed Party B that the Property has been subject to a mortgage.

1-3该房屋的公用或合用部位的使用范围、条件和要求;现有装修、附属设施、设备

状况和甲方同意乙方自行装修和增设附属设施的内容、标准及需约定的有关事宜,由

甲、乙双方分别在本合同附件(二)、(三)中加以列明。甲、乙双方同意该附件作为甲

方向乙方交付该房屋和本合同终止时乙方向甲方返还该房屋的验收依据。

The area and the use of the public or common part of the Property; the existing

fixtures, facilities, condition of equipment and the contents, standard and other

relevant matters to be ascertained in relation to the fixtures and the facilities added

by Party B with the consent of Party A shall be specified in Appendix 2, 3 of this

Contract. Party A and Party B have agreed the said Appendix shall represent the

condition of the Property at the time of hand over of the Property by Party A to Party

B and when Party B deliver up the Property to Party A at the expiry of this Contract.

二、租赁用途

Purpose of the Property

2-1乙方向甲方承诺,租赁该房屋作为住宅使用,并遵守国家和本市有关房屋使用和

物业管理的规定。

Party B warrants to Party A that the Property shall be used for Residential purpose and follows the regulations of the State and this Municipality in relation to the use

and management of Property.

2-2乙方保证,在租赁期内未征得甲方书面同意以及按规定须经有关部门审批核准

前,不擅自改变上款约定的使用用途。

Party B guarantee that during the lease term, it shall not alter the purpose of the

Property without Party A…s prior written consent as well as the approval from the

relevant governmental department.

三、交付日期和租赁期限

Delivery Date and Lease Term

3-1甲乙双方约定,甲方于年月日向乙方交付该房屋。【出租】房屋租赁期

自年月日起至年月日止。

Party A and Party B have agreed that Party A shall hand over the Property to Party

B on or before .

3-2租赁期满,甲方有权收回该房屋,乙方应如期返还。乙方需继续承租房屋的,则

应于租赁期届满前1个月,向甲方提出续租书面要求,经甲方同意后重新签订租赁合

同。

Upon expiry of the lease term, Party A shall have the right to repossess the Property

in its entirety and Party B shall deliver it up accordingly. If Party B wishes to renew

the lease, it shall submit such intent in writing to Party A one month prior to the

expiry of the lease and sign a new lease contract with the consent of Party A.

四、租金、支付方式和期限

Rent, Method of Payment and Term

4-1甲、乙双方约定,【出租】月租金人民币()(大写:人民币圆整)。该

房屋租金 1(年)内不变。自第 2 (年)起,双方可协商对租金进行调整。有关调整

事宜由甲、乙双方在补充条款中约定。

The rent shall remain unchanged for one year. The rent may be adjusted by both

4-2乙方应于每月15日前向甲方支付租金。逾期支付的,每逾期一日,则乙方需按

日租金的0.5%支付违约金。

Party B shall pay the rent by the 15th day of each month. Late payment by Party B

shall be subject to a penalty of 0.5 % of the monthly rent per day.

4-3乙方支付租金的方式如下:

五、保证金和其他费用

Deposit and Other Fees and Charges

5-1甲、乙双方约定,甲方交付该房屋时,乙方应向甲方支付房屋租赁保证金,保证

金为贰个月的租金,即人民币元,(大写:人民币圆整)。甲方收取保证金后应

向乙方开具收款凭证。

租赁关系终止时,甲方收取的房屋租赁保证金除用以抵充合同约定由乙方承担的费用

外,剩余部分一周内无息归还乙方。

Party A and Party B have agreed that at the time of the hand over of the Property by

Party A, Party B shall pay to Party A a rental deposit of the Property, the deposit

Party A shall issue a receipt to Party B after receiving payment of deposit.

At the termination of the lessor/lessee relationship, the remaining deposit of the lease of the Property obtained by Party A shall be refunded to Party B after setting off the fees and expenses borne by Party B under the Contract without interest within one week.

5-2租赁期间,使用该房屋所发生的水、电、煤气、每月房屋租赁税费,通讯费用及ADSL使用费由乙方(甲方/乙方)承担。其他物业管理费、有线及卫星电视收视费和小区的家庭会所卡,均由甲方(甲方/乙方)承担。

During the lease term, the water, electricity, gas, communication of the Property,ADSL usage fee, tax fee per month and other fees resulted from the use of the

Property shall be borne by Party B. All other management fee ,local Chinese TV subscription fee, compound satellite TV subscription fee, onsite club membership card shall be borne by Party A.

5-3 乙方(甲方/乙方)承担的上述费用,计算或分摊办法、支付方式和时间:根据上述企事业单位列出的帐单凭证支付,如不按期付款,滞纳金由乙方承担。

Party B shall be responsible to pay the above fees and charges, the computation or amortization, method and time of payment: According to the demand notes or relevant departments, if delaying payment, Party B should be responsible for the penalty.

六、房屋使用要求和维修责任

Standard Required for Use of Property and Responsibility of Property Maintenance and Repair

6-1租赁期间,乙方发现该房屋及其附属设施有损坏或故障时,应及时通知甲方修

复;甲方应在接到乙方通知后的两日内进行维修。逾期不维修的,乙方可代为维修,费用由甲方承担。

During the lease term, if Party B discovers any damages or defects of the Property and facilities attached, it shall notify Party A immediately for repair. Party A shall carry out the repair within two days after receiving notification from Party B. Any delay in repair may be repaired by Par ty B on Party A?s behalf and the expenses incurred shall be borne by Party A.

七、房屋返还时的状态

Condition of Property at Delivery Back

7-1除甲方同意乙方续租外,乙方应在本合同的租期届满后的次日内返还该房屋,未经甲方同意逾期返还房屋的,每逾期一日,乙方应按0.5%向甲方支付该房屋占用期间的使用费。

Except for the renewal of lease agreed by Party A, Party B shall deliver up the

Property within second day after the expiration of lease term of this Contract. Late delivery of the Property without the consent of Party A shall be subject to a charge for adverse possession of the Property at 0.5%time of rent per day.

7-2乙方返还该房屋应当符合正常使用后的状态。返还时,应经甲方验收认可,并相互结清各自应当承担的费用。

The Property at the time of delivery up by Party B shall be of a condition after normal use. The delivery up shall be examined and authorized by Party A and the fee and charges responsible by the parties shall be cleared at the time of delivery up.

八、转租、转让和交换

Sublease, Assignment and Exchange

8-1除甲方已在本合同补充条款中同意乙方转租外,乙方在租赁期内,需事先征得甲方的书面同意,方同将该房屋部分或全部转租给他人。但同一间居住房屋,不得分割转租。

Unless otherwise agreed in the supplementary clauses of this Contract, Party B shall obtain the written approval from Party A before it could sublease part or all of the Property to a third party during the lease term. Party B shall not sublease part of the Property or sublease to two lessees or more than two lessees at the same time. 九、解除本合同的条件

Conditions for Terminating this Contract

9-1甲、乙双方同意在租赁期内,有下列情形之一的,本合同终止,双方互不承担责任:

Party A and Party B have agreed that during the lease term, this Contract shall be terminated under any of the following circumstances and both parties shall not be held responsible as a result thereof:

(一)该房屋占用范围内的土地使用权依法提前收回的;

The right to use of land within the scope of the Property was early resumed

in accordance with the laws;

(二)该房屋因社会公共利益被依法征用的;

The Property was resumed for public interests;

(三)该房屋因城市建设需要被依法列入房屋拆迁许可范围的;

The Property has been classified as premises to be demolished according

to the law for the need of town planning;

(四)该房屋毁损、灭失或者被鉴定为危险房屋的;

Damages, fire hazards occurred to the Property or otherwise been classified

dangerous premises;

(五)甲方已告知乙方该房屋出租前已设定抵押,现被处分的。

Penalty as a result of the mortgage created over the Property as notified to

Party B by Party A before the lease;

9-2甲、乙双方同意,有下列情形之一的,一方可书面通知另一方解除本合同。违反合同的一方,应向另一方按月租金的 2 倍支付违约金;给对方造成损失的,支付的违约金不足抵付一方损失的,还应赔偿造成的损失与违约金的差额部分:

Party A and Party B have agreed that one party may terminate this Contract by

written notice to the other party under any of the following circumstances. The party in breach shall pay to the other party a penalty of 2 times of the rent per month; if damages is caused to the other party and the penalty is not sufficient to offset the damages of the other party, the party in breach shall also compensate for the

difference between the penalty and the damages caused:

(一)甲方未按时交付该房屋,经乙方催告后 7 日内仍未交付的;

Party A fails to deliver up the Property accordingly and remain fail to deliver

within 7 days after demand given by Party B;

(二)甲方交付的该房屋不符合本合同的约定,致使不能实现租赁目的的;或甲方交付的房屋存在缺陷,危及乙方安全的。

The Property delivered up by Party A falls short of the agreement of this

Contract, causing failure to realize the purpose of the lease; or the Property

delivered by Party A is defective and affects the safety of Party B;

(三)乙方未征得甲方书面同意改变房屋用途,致使房屋损坏的;

Party B alters the use of the Property without the written consent of Party A,

causing damages to the Property;

十、违约责任

Liabilities for Breach of Contract

10-1该房屋交付时存在缺陷的,甲方应自交付之日起的2 日内进行修复,逾期不修复的,甲方同意减少租金并变更有关租金条款。

For defects exist at the time of delivery of the property, Party A shall perform the repair work within2 days after the delivery, in the event of delay and non-repair, Party A agrees to reduce the rent payable and alters the relevant rental provisions. 十一、其他条款

Other Clauses

11-6本合同连同附件一式叁份。其中:甲、乙双方各执一份. 区房地产交易中心受理处一份,以及各份均具有同等效力。
