Supplementary provisions 第九章附则 Chapter I General provisions 第一章总则 Article 1 To regulate the foreign enterprises’ and individuals’conduct in the formation of partnership enterprises inside China,facilitate the investment of foreign enterprises and individuals inChina carried out in the form of partnership enterprises andenlarge foreign economic cooperation and technological exchange,these provisions are formulated pursuant to the partnershipEnterprise Law of the people’s Republic of China (hereinafterreferred to as “partnership Enterprise Law”), the Measures for theFormation of partnership Enterprises inside China by ForeignEnterprises or Individuals, and the Measures of the people’sRepublic of China for the Registration of partnership Enterprises(hereinafter referred to as “Measures for the Registration ofpartnership Enterprises”). 第一条为了规范外国企业或者个人在中国境内设立合伙企业的行为，便于外国企业或者个人以设立合伙企业的方式在中国境内投资，扩大对外经济合作和技术交流，依据《 * 合伙企业法》（以下简称《合伙企业法》）、《外国企业或者个人在中国境内设立合伙企业管理办法》和《 * 合伙企业登记管理办法》（以下简称《合伙企业登记管理办法》），制定本规定。
Article 2 For the purpose of these provisions, the term “foreign-funded partnership enterprise” refers to a partnershipenterprise formed inside China by two or more foreign enterprisesor individuals or by a foreign enterprise or individual and aChinese natural person, legal person or other organization. Theseprovisions shall apply to the registration of formation,registration of change and cancellation of registration of aforeign-funded partnership enterprise. An applicant for theregistration of a
foreign-funded partnership enterprise shall beresponsible for the authenticity of the applicationmaterials. 第二条本规定所称外商投资合伙企业是指2个以上外国企业或者个人在中国境内设
立的合伙企业，以及外国企业或者个人与中国的自然人、法人和其他组织在中国境内设立的合伙企业。外商投资合伙企业的设立、变更、注销登记适用本规定。申请办理外商投资合伙企业登记，申请人应当对申请材料的真实性负责。 Article 3 Foreign-funded partnership enterprises shall abide by thepartnership Enterprise Law and other relevant laws, regulations andrules, and observe the industrial policies governing foreigninvestment.
