EB-5 Escrow Agreement - 1 - ESCROW AGREEMENT 托管协议 This Escrow Agreement (“Agreement”) is made and entered into as of March 11, 2014 by and between Path Tower Seattle, LP, a Washington Limited Partnership (“Company”), and Central Escrow, Inc., a California Corporation (“Escrow Agent”). A. B. Each Applicant initiates the process by signing a subscription agreement (a “Subscription Agreement”) with the Company, and submitting the Investment Monies to Escrow Agent. Company, Applicant and Applicant’s legal representatives will then prepare a Form I-526 Immigrant Petition for submittal to USCIS. The petition is filed, reviewed, and finally approved EB-5 Escrow Agreement - 2 -
or denied by the USCIS. The Investment Monies will be placed in an escrow account held by Escrow Agent until the applicable release conditions described in Section IV below are met. I. APPOINTMENT OF ESCROW AGENT 委任托管代理
The Company hereby appoints Escrow Agent as the escrow agent for the purposes set forth herein, and Escrow Agent accepts such appointment under the terms and conditions of this Agreement.

II. APPOINTMENT OF DEPOSITORY BANK 委任存款银行
Company and Escrow Agent hereby appoint East West Bank (“Depository Bank”) as the depository bank for the escrow account (the “Escrow Account”) to be held by Escrow Agent in accordance with the terms and conditions set forth herein. Both Parties acknowledge and agree that Depository Bank is not a party to this Agreement and bears no responsibility or liability to Company, Escrow Agent, or any Applicant for any aspect of this EB-5 project or individual Applicant’s immigration application. III. ESCROW DEPOSIT 托管存款
1. Company will require its Applicants to sign an EB-5 Investor Acknowledgement of Escrow Terms (“Investor Acknowledgement”) and to wire the Investment Monies into Escrow EB-5 Escrow Agreement - 3 -
Agent’s holding account. Upon Escrow Agent’s written confirmation of its receipt of the signed copy of the Investor Acknowledgement and home country government-issued passport as described in Sections III (2) and (3) below, which confirmation Escrow Agent shall provide to Company as soon as practicable upon receipt, Escrow Agent will deposit the Investment Monies into an escrow account established for Company (Escrow Account) held with Escrow Agent (the deposited Investment Monies are collectively referred to herein as the “Escrow Deposit”) subject to the terms and conditions of this Agreement.
