案例题:2010年11月6日,中国甲公司电告科威特乙公司,欲向其出售一批服装,价格条件为FOB大连,以不可撤销的即期信用证付款。11月8科威特乙公司复电,同意购买,但要求降价3万欧元,中国甲公司于11月10日电告对方同意其要求,科威特乙公司于11月11日收到此电报。11月20日,该批服装装上承运人C公司所属的“玛丽”号,并投保了一切险。11月29日,该轮在海上航行时遇雷电,船上发生火灾,部分货物被烧毁。途中又遇暴雨湿损了一小批货物。货到目的港时,由于目的港发生战争,“玛丽”号受战火波及,再使一部分货物受损。收货人在目的港看到货物受损,认为单货不符,即向银行发出了指示,要求其不要向卖方付款。

问:1.依《联合国国际货物销售合同公约》,该案中的买卖合同是在何时订立的?并说明理由。

2.依《海牙规则》,被火烧毁的部分货物是否应由承运人C公司承担赔偿责任?为什么?

3.暴雨湿损的货物是否属于共同海损?应由谁来承担损失?并说明理由。

SALES CONTRACT

CONTRACT NO. 2015GUOMAO-JD1212

This contract composes of the text and the appendix ( appendices ), either of which is an indivisible part of the contract.

The sellers undertake to Sell and the Buyers undertake to buy the under-noted commodity on the terms and conditions stipulated in the text below and the appendices attached:

MODITY:

Quantity, Unite Price and Shipment are stipulated in the appendices.

2.PACKING:

Packed in new polpropylene woven bags, each containing approx. 50 kilos, gross for net. The bags should be sound and suitable for ocean transportation. The bags shall be properly marked with the name of commodity, weight, country of origin and date of packing in English.

4.TERMS OF SHIPMENT:

a)The Sellers shall advise the Buyers by fax within 5 working days after the completion of loading, the name of the carrying vessel, the date of departure, the name of commodity,

the invoice value and the quantity actually shipped.

b)The Sellers shall give the Buyers, by fax, 15 days prior to the Vessel’s ETA (estimated time of arrival) at the port of discharging, advising the vessel’s latest ETA at the discharging port.

If there is any change in Vessels’ ETA, a notice shall be given to the Buyers or their Agent in time by ship Owners or their Agent at the port of Discharging.

c)The Buyers undertake to accept the Captain’s Notice of Readiness (NOR) given by the Captain in time. Laytime for discharging shall commence at 14hrs(下午两点) if NOR is given at or before noon and at 8:00hrs (上午八点) the next working day if such NOR is given in the afternoon. Time lost in waiting for berth and shifting to be counted as discharging time.

d) Discharging at the rate of 250 metric tons per hatch per weather Working day of 24 consecutive hours Sunday and Holiday excluded unless used. Rate of demurrage as per Charter Party/subject to a maximum of USD 6 000 per day or pro rata for any part of a day. Half demurrage for dispatch.

e) Discharging cost including night shift surcharges, tally charges, sorting charges etc. are for buyers’ account.
