(9)异议索赔：如买方提出索赔，有关品质异议须于货到目的地之日起3个月内提出，有关数量异议须于货到目的地之日起30天内提出。
提出索赔时，买方须提供卖方认可的公证机构出具的检验报告，但属于保险公司或轮船公司责任范围内者，卖方不负任何责任。
Quality/Quantity Discrepancy and Claim: Claim for quality discrepancy should be filed by the Buyers within 3 months after the arrival of the goods at port of destination, while for quantity/weight discrepancy, claim should be filed by the Buyers within 30 days after the arrival of the goods at port of destination. Claims shall be supported by a report issued by a reputable surveyor approved by the Sellers, claims in respect of matters within the responsibility of the insurance company or of the shipping company will not be considered or entertained by the Sellers.
(10)不可抗力：因不可抗力事故所致，不能如期交货或不能交货时，卖方不负任何责任。
但卖方必须向买方提供由中国国际贸易促进委员会或其他有关机构所出具的证明。
Force Majeure: The Sellers shall not be responsible for failure or delay in delivery of the entire lot or a portion of the goods under this Sales Contract due to the Force Majeure. However, in such case, the Sellers shall submit to the Buyer a certificate issued by the China Council for the Promotion of International Trade or other related organization as evidence.
(11)仲裁：凡因执行本合同所发生的或与本合同有关的一切争议，双方应通过友好方式协商解决；如果协商不能解决，则应提交北京中国国际经济贸易仲裁委员会，根据该仲裁委员会的程序进行仲裁，仲裁决定是终局的，对双方均有约束力。
仲裁费用除非仲裁机构另有规定外，均由败诉一方负担。
Arbitration: All disputes arising from the execution of or in connection with this Contract shall be settled amicably through negotiation. If no settlement can be reached through negotiation, the case shall then be submitted to the China International Economic& Trade Arbitration Commission, Beijing，for arbitration in accordance with its provisional rules of procedure. The arbitrator's decision is final and binding upon bath parties. The fee, for arbitration shall be borne by the losing party unless otherwise awarded by the arbitration organization.
