厦门英语合同翻译模板This Contract is made and entered into on this __ day of _______, 20__, by and between party A ____________ (hereinafter referred to as the 'Buyer'), and party B ____________ (hereinafter referred to as the 'Seller').PreambleWHEREAS, the Buyer desires to purchase certain goods and/or services from the Seller, and the Seller desires to sell such goods and/or services to the Buyer, on the terms and conditions set forth in this Contract.NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties hereby agree as follows:1. Definitions1.1 "Goods" shall mean all items and products to be purchased by the Buyer from the Seller, as set forth in Exhibit A attached hereto.1.2 "Services" shall mean all services to be provided by the Seller to the Buyer, as set forth in Exhibit B attached hereto.1.3 "Price" shall mean the total price to be paid by the Buyer to the Seller for the Goods and/or Services, as set forth in Exhibit C attached hereto.2. Sale of Goods and/or Services2.1 The Seller agrees to sell and deliver the Goods and/or provide the Services to the Buyer in accordance with the terms and conditions of this Contract.2.2 The Buyer agrees to purchase the Goods and/or accept the Services from the Seller in accordance with the terms and conditions of this Contract.3. Delivery3.1 The Seller shall deliver the Goods to the Buyer in accordance with the delivery schedule set forth in Exhibit A attached hereto.3.2 The Seller shall provide the Services to the Buyer in accordance with the timeline set forth in Exhibit B attached hereto.4. Price and Payment4.1 The Buyer shall pay the Price to the Seller in the manner and within the time frame set forth in Exhibit C attached hereto.4.2 The Price shall be inclusive of all taxes, duties, and other charges levied on the sale and delivery of the Goods and/or provision of the Services.5. Warranties and Disclaimers5.1 The Seller warrants that the Goods and/or Services shall conform to the specifications and requirements set forth in this Contract.5.2 The Seller disclaims all other warranties, express or implied, including, but not limited to, warranties of merchantability and fitness for a particular purpose.6. Indemnification and Limitation of Liability6.1 The Seller shall indemnify and hold harmless the Buyer from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees arising out of or related to any breach of this Contract by the Seller.6.2 The Seller's liability under this Contract shall be limited to the Price paid by the Buyer for the Goods and/or Services.7. Governing Law and Dispute Resolution7.1 This Contract shall be governed by and construed in accordance with the laws of the People's Republic of China.7.2 Any dispute arising out of or relating to this Contract shall be resolved by arbitration in accordance with the rules of the International Chamber of Commerce.8. Miscellaneous8.1 This Contract constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings.8.2 This Contract may not be amended or modified except in writing signed by both parties. 合同翻译模板甲方（以下简称“甲方”）：乙方（以下简称“乙方”）：根据《中华人民共和国合同法》及相关法律法规的规定，甲乙双方在平等、自愿、公平、诚实信用的原则基础上，经友好协商，就甲方委托乙方提供翻译服务事宜，达成如下协议：一、翻译服务内容1.1 甲方委托乙方对以下文件进行翻译：（1）文件名称1（2）文件名称2（3）文件名称3……1.2 翻译语言：中文/英文（或其他语言）1.3 翻译格式：参照原文格式进行翻译，如有特殊要求，双方可另行商定。
二、翻译质量要求2.1 乙方应保证翻译质量，确保翻译内容准确、完整、通顺，符合甲方的需求。
2.2 乙方应在约定的时间内完成翻译任务，如有特殊情况导致无法按时完成，乙方应提前通知甲方，并协商延期。
2.3 乙方应按照甲方的要求，对翻译成果进行修改和完善。
三、翻译费用及支付方式3.1 双方确认，乙方向甲方提供的翻译服务，甲方应支付乙方人民币【】元整（大写：【】元整）。
3.2 甲方支付乙方翻译费用的方式为：【】（1）银行转账（2）现金支付（3）其他方式3.3 甲方应在翻译完成后【】日内支付乙方翻译费用。
四、保密条款4.1 双方在合同履行过程中所获悉的对方的商业秘密、技术秘密、市场信息等，应予以严格保密。
4.2 保密期限自合同签订之日起算，至合同终止或履行完毕之日止。
五、违约责任5.1 任何一方违反合同的约定，导致合同无法履行或造成对方损失的，应承担违约责任，向对方支付违约金，并赔偿损失。
5.2 若乙方未能按照约定时间完成翻译任务，甲方有权按照逾期天数向乙方追讨违约金，违约金计算方式为：违约金=翻译费用×逾期天数×1%。
六、争议解决6.1 双方在履行合同过程中发生的争议，应首先通过友好协商解决；协商不成的，可以向有管辖权的人民法院起诉。
七、其他约定7.1 本合同自双方签字（或盖章）之日起生效，一式两份，甲乙双方各执一份。
7.2 本合同未尽事宜，可由双方另行签订补充协议，补充协议与本合同具有同等法律效力。
