ExceptionsThe obligations set forth in this Agreement shall not apply to the following:3.1 Information already in possession: If the Receiving Party can demonstrate that it already had knowledge of the Confidential Information prior to its disclosure by the Disclosing Party or obtained the information from a third party with the legal right to disclose it.3.2 Publicly available information: If the Confidential Information becomes publicly available through no fault or action of the Receiving Party.3.3 Legal disclosure requirement: If the Receiving Party is legally compelled to disclose the Confidential Information by a court, governmental agency, or other regulatory authority, provided that the Receiving Party promptly notifies the Disclosing Party to enable appropriate protective measures.4. 2.当被视为专有的“资讯”以载体的形式被提供时,披露方须以对“资讯”进行标记的方式,指出该资讯的专有性或机密性,或者把该资讯的传布局限在协议所规定的范围里。
当“资讯”被口头提供时,提供方在披露的同时,应明确声明其专有性或机密性,或者把该资讯的传布限制在协议规定范围里,或者,事后立即书面确认该资讯的专有性和机密性。
此外,该协议之实体和条款,双方就“主题事项事项”所进行磋商的事实和内容以及相关“主题事项事项”的通信都被将认为具有专有性。
3.关于该协议所披露的“资讯”,获披露“资讯”的一方,其职员及其附属公司的职员应该做到:a.对该资讯保密,其采取的谨慎程度不少于披露方为保护其不愿披露的专有机密资讯所采取的谨慎程度,并且,在任何情况下,以合理的谨慎程度进行保密。
b.把资讯的披露范围仅仅局限于董事会、公司高级职员、职员和/或有必要知道的代理/顾问,不得将资讯披露给其他任何人。
c.建议获披露该“资讯”之人士履行对该资讯的保密义务。
d.仅仅将该资讯用于有关“主题事项事项”的通信和磋商上,除此以外使用该资讯必须经双方书面同意。
4.获披露“资讯”一方想要将“资讯”披露给非附属的顾问和代理,必须首先经由“资讯”原本披露方的书面认可,并且与该顾问和代理签署有关保密协议,其形式必须为“资讯”原本披露方所满意。
5.“资讯”应被视为资讯披露方的财产,一旦该方要求,另一方应以载体的形式把所有“资讯”归还给披露方,或者按照资讯披露方的指示销毁该资讯。

第五条保密信息的归还5.1 乙方应在甲方要求时,或在本协议终止时,归还所有保密信息及其副本。
第六条违约责任6.1 如乙方违反本协议的任何条款,乙方应赔偿甲方因此遭受的所有损失。
第七条法律适用与争议解决7.1 本协议的解释、适用及争议解决均适用[适用法律]。
7.2 因本协议引起的任何争议,双方应首先通过友好协商解决;协商不成时,任何一方均可向甲方所在地的有管辖权的人民法院提起诉讼。

4.2 限制接收方不得将保密信息用于任何其他目的,也不得向第三方披露保密信息,除非事先取得披露方的书面许可。
5. 保密信息的披露5.1 披露要求若接收方根据法律法规、法律程序或者政府要求必须披露保密信息,接收方应该尽快通知披露方,并尽合理努力保护保密信息的机密性。
6. 违约责任6.1 违约的定义如一方(违约方)违反本协议的任何条款,另一方(非违约方)有权采取适当的补救措施,包括但不限于要求违约方赔偿损失、请求法律救济等。
6.2 免责条款对于不可抗力因素导致的违约情况,包括但不限于自然灾害、恶劣天气、战争等,受影响的一方不承担责任。
7. 协议的终止7.1 终止条件本协议自双方签署之日起生效,有效期为__年。

Non-Disclosure. The Parties agree not to disclose any Confidential Information to any third party without the prior written consent of the disclosing Party.3. Exclusions from Confidential InformationThe obligations of confidentiality under this Agreement shall not apply to information that:- Is or becomes publicly known through no fault of the receiving Party;- Is already in the possession of the receiving Party at the time of disclosure;- Is obtained by the receiving Party from a third party without a breach of such third party's obligations of confidentiality;- Is independently developed by the receiving Party without use of or reference to the Confidential Information.4. 4.2 法律要求:如果合作方根据法律、政府要求或者司法命令需要披露保密信息,则不视为违反本保密协议。
5、违约责任:一方违反本保密协议的规定,另一方有权追究其赔偿责任,并可能向法律途径寻求救济。
6、协议终止:本保密协议可由任何一方提前30天以书面形式通知解除,或者在商定的合作期限届满后自动终止。

第二条双方责任1. 甲乙双方均对本协议项下的保密资料承担保密义务,未经对方书面同意,不得向任何第三方(包括但不限于新闻媒体、竞争对手等)泄露、披露或以任何形式使用保密资料。
2. 甲乙双方应采取一切必要措施,确保保密资料的安全,防止保密资料被泄露、丢失或被未经授权的人员获取。
3. 甲乙双方应对其员工、代表、顾问等任何可能接触到保密资料的人员进行保密教育和培训,确保其遵守本协议的保密义务。
第三条保密期限本协议项下的保密义务自协议签订之日起至[具体期限],或至保密资料失去保密性之日止,无论哪种情况先发生。
第四条违约责任1. 若任何一方违反本协议的保密义务,造成对方损失的,应承担相应的法律责任,包括但不限于赔偿对方因此遭受的直接经济损失。
2. 若任何一方违反本协议的保密义务,导致保密资料被泄露,造成对方损失的,应承担相应的法律责任,包括但不限于赔偿对方因此遭受的直接经济损失、商誉损失等。
第五条其他1. 本协议的签订、效力、解释、履行、终止均适用中华人民共和国法律。

1.2 “披露方”指向另一方披露保密信息的一方,即甲方或乙方。

2. 保密义务2.1 双方同意将对方披露的保密信息视为绝对机密,不得向任何第三方披露、交付、复制、使用或允许任何人员接触该保密信息,除非另有双方明确书面同意。
2.2 接收方同意仅将保密信息用于履行本协议,并在必要时采取适当的保密措施,以防止保密信息的未经授权使用或披露。
保密信息应仅提供给有明确需求并同样服从保密义务的接收方的雇员、承包商或代理人。
2.3 接收方承认保密信息仍然是披露方的财产,并同意归还或销毁该等保密信息,或按照披露方的要求进行处理,一旦不再需要使用该保密信息或本协议终止。
2.4 本协议不限制接收方依法披露保密信息,前提是接收方在披露前尽一切合理努力通知披露方,并让披露方有机会采取适当措施防止或限制披露。
3. 保密期限3.1 本协议的保密期限自甲方首次向乙方披露保密信息之日起开始,持续五(5)年。
3.2 在本协议终止后,接收方应在合理期限内归还或销毁所有保密信息,并提供书面确认。
4. 免责条款4.1 本协议不应适用于以下情况:(a) 已经是公共领域的信息,或在无违反本协议义务的情况下被接收方合法获得的信息;(b) 由接收方独立开发的信息,不依赖于披露方的保密信息;(c) 根据适用法律、法规、监管机构或司法机构的要求进行披露的信息。

此外该协议之实体和条款双方就“主题事项事项”所进行磋商的事实和内容以及相关“主题事项事项”的通信都被将认为具有专有性。
关于该协议所披露的“资讯”获披露“资讯”的一方其职员及其附属公司的职员应该做到:a对该资讯保密其采取的谨慎程度不少于披露方为保护其不愿披露的专有机密资讯所采取的谨慎程度并且在任何情况下以合理的谨慎程度进行保密。
b把资讯的披露范围仅仅局限于董事会、公司高级职员、职员和或有必要知道的代理顾问不得将资讯披露给其他任何人。
c建议获披露该“资讯”之人士履行对该资讯的保密义务。
d仅仅将该资讯用于有关“主题事项事项”的通信和磋商上除此以外使用该资讯必须经双方书面同意。
获披露“资讯”一方想要将“资讯”披露给非附属的顾问和代理必须首先经由“资讯”原本披露方的书面认可并且与该顾问和代理签署有关保密协议其形式必须为“资讯”原本披露方所满意。
“资讯”应被视为资讯披露方的财产一旦该方要求另一方应以载体的形式把所有“资讯”归还给披露方或者按照资讯披露方的指示销毁该资讯。
如另一方丢失了“资讯”或者在未经授权的情况下披露了“资讯”应立即通知对方并作合理的努力来追回丢失或错误地泄露了的资讯。
一、协议双方甲方(以下简称“甲方”):乙方(以下简称“乙方”):鉴于甲方和乙方在业务往来中需要相互提供一些商业秘密、技术秘密、经营秘密等信息,为了保护双方的合法权益,经双方友好协商,特订立本保密协议。
二、保密信息范围1. 甲方和乙方在业务往来中涉及的商业秘密、技术秘密、经营秘密等,包括但不限于以下内容:(1)甲方和乙方的商业计划、经营策略、市场分析、产品研发、技术方案、工艺流程、生产方法、原材料、销售渠道、客户信息等;(2)甲方和乙方的合作伙伴、供应商、客户等第三方信息;(3)甲方和乙方的财务状况、资产状况、负债状况等;(4)甲方和乙方的员工信息、人事安排等;(5)甲方和乙方的知识产权、专利、商标、著作权等;(6)甲方和乙方的其他保密信息。
三、保密义务1. 甲方和乙方在签订本协议后,对所获得的保密信息负有保密义务,未经对方同意,不得向任何第三方泄露、披露或使用。
2. 甲方和乙方应采取必要的保密措施,确保保密信息的保密性,包括但不限于以下措施:(1)对保密信息进行物理、电子或管理等保密措施;(2)对接触保密信息的员工进行保密教育;(3)对保密信息进行分类、分级管理;(4)对保密信息的使用、复制、传输等进行严格控制。
3. 甲方和乙方应遵守相关法律法规,不得利用保密信息从事违法活动。
四、保密期限本协议的保密期限自双方签订之日起至保密信息不再具有保密价值之日止。
五、违约责任1. 任何一方违反本协议的保密义务,泄露、披露或使用保密信息的,应承担以下违约责任:(1)向对方支付违约金,违约金金额为保密信息价值的50%;(2)赔偿对方因此遭受的损失;(3)承担其他违约责任。
2. 违约方还应承担由此产生的法律责任。
六、争议解决1. 甲方和乙方在履行本协议过程中发生的争议,应首先通过友好协商解决。
2. 协商不成的,任何一方均可向合同签订地人民法院提起诉讼。
七、其他1. 本协议一式两份,甲乙双方各执一份,自双方签字(或盖章)之日起生效。

5.“资讯”应被视为资讯披露方的财产,一旦该方要求,另一方应以载体的形式把所有“资讯”归还给披露方,或者按照资讯披露方的指示销毁该资讯。
如另一方丢失了“资讯”或者在未经授权的情况下披露了“资讯”,应立即通知对方并作合理的努力来追回丢失或错误地泄露了的资讯。
6.在下述情况下,获披露“资讯”的一方没有任何义务来保持该资讯的专有性:a.此前已为不受保密性义务约束的一方获知,或b.即便不存在未经授权的披露该资讯也可以或者将可以逐渐为公众所悉,或c.披露或代表该资讯的一方与该协议项下的任何资讯无关,或d.该资讯从第三方获得,其披露不违反任何保密义务,或e.“资讯”被依法提供或应有司法权的政府部门的要求根据某项法令被提供,或者在诉讼的过程中按照法律的要求被提供,被要求提供“资讯”的一方应立即通知另一方该命令或要求。
如果对方为了要用合法的手段,包括但不限于照相和保护性措施以达到限制和避免资讯被披露的目的而要求(自行承担费用)介入有关资讯披露的命令或要求事务,该方应按照另一方所要求的任何合理的方式与另一方合作。
7.该协议、该协议项下资讯的提供以及正在进行的磋商和双方信函往来都不构成或意指对“主题事项”的承诺或关于“主题事项”的约束双方极其相关的下属公司的义务。
如果将来双方选择对“主题事项”达成约束性的承诺,必须以书面形式单独订立由双方签署的协议以明确说明该义务。
双方据此认定无意将他们的磋商、往来信函和其它活动被视为形成有关主题事项的合约。
在没有另行书面协议的情况下,也不视为其他任何的彼此间的交易。
8.任何一方都不必对另一方依据该协议所采取的行动以及依据该协议所提供的资讯而作出的商业决策和推断负任何责任。
任何一方都不可据此要求另一方改变其经商手法服务方式,任何一方都不承担其评析的准确度的义务。
任何一方对“资讯”不作明确的或暗示的担保。
任何一方对另一方因“资讯”的提供和使用所遭受的利润损失,业务损失或者间接性、继升性、惩罚性的损害之款项不承担责任。
9.本协议对在此所提的双方极其继承人或受让人均有约束。
10.本协议将受英国法律的制约并以英国法律为解释依据,并受到英国法庭的司法管辖。
一旦该协议项下事项引起争议并提起诉讼,败诉方将承担法庭费用和胜诉方合理的律师费。
11.该协议项下的资讯的披露时期(资讯披露期)可以在以下指定的生效日后的一年内。
资讯披露期期满时,本协议款3和款4所包含的双方的责任义务在资讯披露期届满后须继续生效三年。
12.协议各方认同,如果出现未经授权的“资讯”披露的情况,其结果该资讯原始提供方(权利人)遭受的损害难于或者不可能确定。
如果赔偿不足,资讯权利人可以向违反本协议的一方寻求强制性的救济/或履行本协议以及追索赔偿金。
13.只要该项协议没有被违反,对于本协议的解释不应妨碍各方从事其他商务活动,无论这些商务活动是否与双方所交换的专年有资讯相关。
14.本协议构成各方对本协议下提供的“资讯”的完整理解。
本协议的任何修改或变动应以书面形式由协议双方各自正式指定的代表签署,否则均为无效或对双方不产生约束力。
协议各方表示指派各自授权的代表在以下签明日期代表签署本协议,就本文所述的承诺和责任约束对方。
英文:Mutual Non-Disclosure AgreementABC Company having its principal office at _________ (hereinafter referred to as “ABC”) and XYZ Company having its principal office at _________ (hereinafter referred to as “XYZ”) in consideration of the mutual covenants of this Agreement, hereby agree as follows:Article 1 In connection with negotiations between both parties regarding a strategic alliance (hereinafter referred to as “Subject Matter”), each party to this Agreement may wish to disclose its proprietary information (hereinafter referred to as “Information”) to the other party on a confidential basis. The disclosing party may consider such Information proprietary under this Agreement either because it has developed the Information internally, or because it has received the Information subject to a continuing obligation to maintain the confidentiality of the Information, or because of other reasons.Article 2 When information deemed to be proprietary is furnished in a tangible form, the disclosing party shall mark the Information in a manner to indicate that it is considered proprietary or confidential or otherwise subject to limited distribution as provided herein. When Information is provided orally, the disclosing party shall, at the time of disclosure, clearly identify the information as being proprietary or confidential or otherwise subject to limited distribution as provided herein, and promptly thereafter provide written confirmation of the proprietary or confidential nature of such information. In addition, the existence and terms of this Agreement, and the fact and substance of discussions and correspondence between the parties concerning the Subject Matter, shall be deemed Proprietary Information.Article 3 With respect to Information disclosed under this Agreement, the party to whom the Information is disclosed, its employees and employees of its affiliated companies shall:(1) Hold the Information in confidence, exercising a degree of care not less than the care used by disclosing party to protect its own proprietary of confidential information that it does not wish to disclose, and in any event, not less than a reasonable degree of care;(2) Restrict disclosure of the Information solely to those directors, officers, employees and/or agents/consultants with a need to know and not disclose it to any other person;(3) Advise those persons to whom the Information was disclosed of the obligations to keep in confidence with respect to the Information; and(4) Use the Information only in connection with continuing correspondence and discussions by the parties concerning the Subject Matter, except as may otherwise be mutually agreed upon in writing.Article 4 If the party to whom information has been disclosed proposes to disclose that Information to any unaffiliated consultant or agent, it shall obtain the prior written consent of the party from whom the Information was originally received, and shall arrange for the execution of the consultant or agent of non-disclosure agreement in a form satisfactory to the party from whom the Information was originally received.Article 5 The Information shall be deemed the property of the disclosing party and, upon request, the other party shall return all Information received in tangible form to the disclosing party or shall destroy all such information at the disclosing party’s direction. If either party loses or makes an unauthorised disclosure of the other party’s Information, it shall notify such other party immediately and use reasonable efforts to retrieve the lost or wrongfully disclosed Information.Article 6 The party to whom Information is disclosed shall have no obligation to preserve the proprietary nature of any Information which:(1) Was previously known to such party free of any obligation to keep it confidential; or(2) Is or becomes generally available to the public by means other than unauthorized disclosure; or(3) Is developed by or on behalf of such party independent of any information furnished under this Agreement; or(4) Is received from a third party whose disclosure does not violate any confidentiality obligation; or(5) Is required to be disclosed by law or by any government agency having jurisdiction pursuant to an order to produce or in the course of a legal proceeding pursuant to a lawful request for discovery provided, however, that if a party is so required to disclose the Information such party shall promptly notify the other party of the order or request in discovery and cooperate with such other party in any reasonable manner requested in the event the other party elects (at its expense) to intervene in the proceeding in which the order was entered or the request for discovery made for the purpose of limiting or avoiding such disclosure by any lawful means including, but not limited to in camera review and protective order.Article 7 Neither this Agreement, nor the disclosure of Information under this Agreement, nor the ongoing discussions and correspondence between the parties, shall constitute or imply a commitment or binding obligation between the parties or their respective affiliated companies, if any, regarding the Subject Matter. If, in the future, the parties elect to enter into binding commitments regarding the Subject Matter, such commitments shall be explicitly stated in a separate written agreement executed by both parties, and the parties hereby affirm that they do not intend their discussions, correspondence, and other activities to be construed as forming a contract regarding the Subject Matter or any other transaction between them without execution of such separate written agreement.Article 8 Neither party is responsible or liable for other party’s actions taken pursuant to this Agreement, or for any business decisions made or inferences drawn by the other party in reliance on the Information provided according to this Agreement. Neither party solicits any changes in the business practices or services of the other, and no obligations are incurred with regard to the accuracy of the observations of either party. Neither party makes any warranty, express or implied, with respect to the Information. Neither party shall be liable to the other hereunder for amounts representing loss of profits, loss of business, or indirect, consequential, or punitive damages of the other party in connection with the provision or use of the Information hereunder.Article 9 This Agreement shall be binding upon the parties hereto and their respective successors andassignees.Article 10 This Agreement shall be governed by and construed in accordance with Britain Law and shall be subject to the jurisdiction of the English Courts. In the event of a dispute arising under this Agreement resulting in litigation, the loosing party shall pay the court costs and reasonable attorney’s fees of the prevailing party.Article 11 Disclosures of Information under this Agreement may take place for a period (the “Information Disclosure Period”) of no more than one (1) year following the Effective Date set forth below. The obligations of the parties contained in Paragraphs 3 and 4 shall survive and continue beyond the expiration of the Information Disclosure Period for a term of three (3) years.Article 12 The parties acknowledge that in the event of an unauthorized disclosure, damages to the disclosing (Information-owning) party as a result thereof may be difficult or impossible to ascertain, and in any event inadequate to compensate such disclosing party; and therefore such disclosing party may seek injunctive relief and/or specific performance as well as monetary damages against the party that breaches this Agreement.Article 13 So long as this Agreement is not breached as a result thereof, this Agreement shall not be construed to prevent either party from pursuing any other business activity, whether or not related to the Proprietary Information exchanged.Article 14 This Agreement constitutes the entire understanding between the parties with respect to the Information provided hereunder.
