The quantities, prices and shipments of the commodities stated in this Agreement shall be confirmed in each transaction, the particulars of which are to be specified in the Sales Confirmation signed by the two parties hereto.
5. 付款
Payment
订单确认之后，乙方须按照有关确认书所规定的时间开立以甲方为受益人的保兑的、不可撤销的即期信用证。乙方开出信用证后，应立即通知甲方，以便甲方准备交货。
After confirmation of the order, Party B shall arrange to open a confirmed, irrevocable L/C available by draft at sight in favour of Party A within the time stipulated in the relevant S/C. Party B shall also notify Party A immediately after L/C is opened so that Party A can get prepared for delivery.
6. 佣金
Commission
在本协议期满时，若乙方完成了第二款所规定的数额，甲方应按装运货物所收到的发票累计总金额付给乙方*%的佣金。
Upon the expiration of the Agreement and Party B's fullfilment of the total turnover mentioned in Article 2, Party A shall pay to Party B... % commission on the basis of the aggregate amount of the invoice value against the shipments effected.
7. 市场情况报告
Reports on Market Conditions
乙方每3个月向甲方提供一次有关当时市场情况和用户意见的详细报告。同时，乙方应随时向甲方提供其他供应商的类似商品样品及其价格、销售情况和广告资料。
Party B shall forward once every three months to party A detailed reports on current market conditions and of consumers' comments. Meanwhile, Party B shall,from time to time, send to party A samples of similar commodities offered by other suppliers, together with their prices, sales information and advertising materials.
8. 宣传广告费用
Advertising & Publicity Expenses
在本协议有效期内，乙方在上述经销地区所作广告宣传的一切费用，由乙方自理。乙方须事先向甲方提供宣传广告的图案及文字说明，由甲方审阅同意。
Party B shall bear all expenses for advertising and publicity within the aforementioned territory in the duration of this Agreement and submit to Party
A all patterns and/or drawings and description for prior approval.
9. 协议有效期
Validity of Agreement
本协议经双方签字后生效，有效期为**天，自**至**。若一方希望延长本协议，则须在本协议期满前1个月书面通知另一方，经双方协商决定。
若协议一方未履行协议条款，另一方有权终止协议。
This Agreement, after its being signed by the parties concerned, shall remain in force for... days from ... to ... If either Party wishes to extend this Agreement, he shall notice, in writing, the other party one month prior to its expiration. The matter shall be decided by the agreement and by consent of the parties hereto. Should either party fail to implement the terms and conditions herein, the other party is entitled to terminate this Agreement.
10. 仲裁
Arbitration
在履行协议过程中，如产生争议，双方应友好协商解决。若通过友好协商达不成协议，则提交中国国际贸易促进委员会对外贸易仲裁委员会，根据该会仲裁程序暂行规定进行仲裁。该委员会的决定是终局的，对双方均具有约束力。仲裁费用，除另有规定外，由败诉一方负担。
All disputes arising from the execution of this Agreement shall be settled through friendly consultations. In case no settlement can be reached, the case in dispute shall then be submitted to the Foreign Trade Arbitration Commission of the China Council for the Promotion of International Trade for arbitration in accordance with its provisional rules of procedure. The decision made by this Commission shall be regarded as final and binding upon both parties. Arbitration fees shall be borne by the losing party ,unless otherwise awarded.
11. 其他条款
Other Terms & Conditions
（1）甲方不得向经销地区其他买主供应本协议所规定的商品。如有询价，当转达给乙方洽办。若有买主希望从甲方直接订购，甲方可以供货，但甲方须将有关销售确认书副本寄给乙方，并按所达成交易的发票金额给予乙方*%的佣金。
Party A shall not supply the contracted commodity to any other buyer（s）in the above mentioned territory. Direct enquiries, if any, will be referred to Party B. However, should any other buyers wish to deal with Party A directly, Party A may do so. But party A shall send to Party B a copy of Sales Confirmation and give Party B...% commission on the basis of the net invoice value of the transaction（s）concluded.
（2）若乙方在*月内未能向甲方提供至少**订货，甲方不承担本协议的义务。
Should Party B fail to pass on his orders to Party A in a period of ... months for a minimum of ...， Party A shall not bind himself to this Agreement.
（3）对双方政府间的贸易，甲方有权按其政府的授权进行有关的直接贸易，而不受本协议约束。乙方不得干涉此种直接贸易，也无权向甲方提出任何补偿或佣金要求。
For any business transacted between governments of both Parties, Party A may handle such direct dealings as authorized by Party A's government without binding himself to this Agreement. Party B shall not interfere in such direct dealings nor shall Party B bring forward any demand for compensation therefrom.
（4）本协议受签约双方所签订的销售确认条款的制约。
This Agreement shall be subject to the terms and conditions in the Sales Confirmation signed by both parties hereto.

根据《中华人民共和国合同法》和有关法律法规的规定，乙方接受甲方的委托，为甲方产品寻找海外客商，双方经协商一致，签订本合同。
第一条：委托事项：

第二条：委托事项的具体要求：
（1）甲方应保证所生产产品的合法性及保证产品质量。

第三条：佣金的计算、给付方式、给付时间：
（1）甲方同意按每笔合同成交总额的______支付佣金给乙方。
（2）给付方式及时间：
在甲方与乙方所介绍的海外客商签定合同后，甲方应支付总佣金的20%给乙方，甲方拿到海外客商的信用证后，甲方应支付总佣金的30%给乙方，该供应合同执行完后在7天之内支付余下的佣金给乙方。
第四条：违约责任：
（1）甲方若不按本合同第三条的（2）执行，逾期一天应支付乙方滞纳金，滞纳金系数为：总佣金的5‰/天。
（2）甲方同意凡乙方所介绍的海外客商，其将来与甲方发生的每笔业务，甲方都将按本合同的第三条支付佣金给乙方，否则，甲方愿接受合同成交额的30%罚款支付给乙方。
第五条：争议解决方式
对违约行为若双方协商不成，可凭此合同向人民法院提出诉讼。
第六条：本合同未尽事宜双方协商解决。本合同一式肆份双方各执贰份具有同等法律效用。本合同双方签字盖章即为有效。

8. 宣传广告费用

国际销售独家代理合同协议（中英文对照）
本协议系于______年______月______日，由当事人一方A、B、C公司按中国法律组建并存在的公司，其主营业地在_______(以下简称卖方)
与他方当事人X、 Y、 Z公司，按______国法律组建并存在的公司，其主营业地在______(以下简称代理商)所签订。
双方一致同意约定如下：
第一条委任与接受
在本协议有效期内，卖方指定代理商为本协议第四条项下商品的独家代理商，在第三条所规定的区域内招揽顾客的订单。代理商同意并接受上述委任。
第二条代理商的义务
代理商应严格遵守卖方随时给予的任何指令，而且不得代表卖方作出任何担保、承诺以及订立契约、合同或作其他对卖方有约束力的行为。对于代理商违反卖方指令或超出指令范围所用的一切作为或不作为，卖方都将不承担任何责任。
第三条代理区域
本协议所指的代理区域是：________ (以下简称区域)。
第四条代理商品

第五条独家代理权
基于本协议授予的独家代理权，卖方不得在代理区域内，直接地或间接地，通过其他渠道销售、出口代理商品。代理商也不得在代理区域内经销、分销、或促销与代理商品相似或有竞争性的商品，也不能招揽或接受到区域外销售为目的订单。在本协议有效期内，对来自于区域内其他顾客有关代理商品的订单、询价，卖方都应将其转交给代理商。
第六条最低代理额和价格
在本协议有效期内，如果卖方通过代理商每所(12个月)从顾客处收到的货款总金额低于_______ ，则卖方有权提前30天书面通知代理商解除本协议。
卖方应经常向代理商提供最低的价格表以及商品可以成交的条款、条件。
第七条订单的处理
在招揽订单时，代理商应将卖方成交的条件、合同的一般条款充分通知顾客，也应告知顾客任何合同的订立都须经卖方的确认。代理商应将其收到的订单立即转交给卖方，以供卖方选择是否接受订单。卖方有权利拒绝履行或接受代理商所获得的订单或订单的一部分，而代理商对于被拒绝的订单或其中的一部分，无任何佣金请求权。
第八条费用分担
除另有约定外，所有的费用和支出，如电讯费、差旅费以及其他有关商品销售的费用，都应由代理商承担。除此以外，代理商还应承担维持其办公处所、销售人员以及用于执行卖方中有关代理商的义务而发生的费用。
第九条佣金
卖方接受代理商直接获得的所有订单后，就应按商品净销售额的百分之_____，以
______(货币)支付给代理商佣金。佣金只有在卖方收到顾客的全部货款后，每6个月支付一次，以汇付方式支付。
第十条商情报告
卖方和代理商都应按季度或按对方要求提供有关市场信息的报告，以尽可能促进商品的销售。代理商应向卖方报告商品的库存情况、市场状况及其他商业活动。
第十一条商品的推销
在代理区域内，代理商应积极地充分地进行广告宣传以促进商品的销售。卖方应向代理商提供一定数量的广告印刷品、商品样本、小册子以及代理商合理要求的其他材料。
第十二条工业权保护
在本协议有效期内，代理商可使用卖方的商标，但仅限于代理商品的销售。如果在本协议终止后，代理商地销售库存代理商品时，仍可使用卖方的商标。代理商也承认使用于或包含于代理商品中的任何专利、商标、版权以及其他工业产权，都属于卖方所有，并且不得以任何方式提出异议。一旦发现浸权，代理商应及时通知卖方并协助卖方采取措施保护卖方产权利益。
第十三条协议期限
本协议经双方签字生效。在本协议终止前至少3个月，卖方或代理商应共同协商协议的续延。如果双方一致同意续延，在上述规定的条款、条件下，附上补充文件，本协议将继续有效另外_______年。发生续延，本协议将于______年______月______日终止。
第十四条协议的中止
在本协议有效期内，任何一方当事人不履行合同或违反本协议的条款，如第五、六、十一条，双方当事人座争取及时解决争议的问题以期双方满意。如果在违约方接到书面通知后3日内问题仍不能解决，非违约方将有权中止本协议，由此造成的损失、无力偿付债务、清算、死亡以及被第三人兼并，另一方当事人可提出中止本协议，而无需书面通知对方。
第十五条不可抗力
任何一方对由于下列原因而导致不能或暂时不能履行全部或部分协议义务的，不负责任：
自然灾害、政府采购或禁令以及其他任何双方在签约时不能预料、无法控制且不能避免和克服的事件。但受不可抗力影响的一方，应尽快地将发生的事件通知对方，并附上证明材料。
第十六条准据法
本协议有关贸易条款应按 INCOTERM90解释。本协议的有效性、组成以及履行受中华人民共和国法律管辖。
第十七条仲裁
对于因履行本合同发生的一切争议，双方应友好协商解决，如协商无法解决争议，则应提交中国国际经济贸易仲裁委员会(XXX)，依据其仲裁规则，仲裁费应由败诉一方承担，仲裁委员会另有规定的除外。
本合同由双方代表签字后生效，一式两份，双方各执一份。

EXCLUSIVE AGENCY AGREEMENT

Article 3. Territory

Article 5. EXclusive Right

Aritcle 6. Mimimum Transaction and Price
In the event that during one year (12 months) during the effective period of this Agreement,aggregate payment received by Seller from customers on orders obtained by Agent under this Agreement amounts to less than _____ , Seller shall have the right to terminat this Agreement amounts to less than _____,Seller shall have the right to terminate this Agreement by giv ing thirty (30) days written notice to Agent.

Article 12 .Industrial Property Rights
Agent may use the trade - mark(s) of Seller during the effective period o f this Agreement only in connection with the sale of Products, provided t hat even after the termination of this Agreement Agent may use the trade - mard(s) inconnection with the sale of Products held by it in stock at t he time of termination. Agent shall also acknowledge that any and all pat ents, trade - marks, copyright and other industrial property rights used or embodied in Products shall remain to be sole properties of Seller and shall not dispute them in any way. If any infringement being found, Agent shall promptly notify seller and asist seller to take steps to protect i ts right.
Article 13. duration
This Agreement shall enter into force on the signing of both parties. At least three(3) months before the eXpiration of the term, both Seller and Agent shall consult each other for renewal of this - Agreement. If the re newal of this Agreement is agreed upon by both parties,this - Agreement s hall be renewed for another_________ year(s) period under the terms and c onditions herein set forth,with amendments, if agreed upon by both partie s. Article 14. Termination
In case there is any nonperformance and/or violation of the terms and con ditions including Article 5,6,11 under this Agreement by either party dur ing the effective period of this agreement,the parties hereto shall do th eir best to settle the matter in question as prompt and amicable as possi
ble to mutual satisfaction.Unless settlement should be reacher within thi rty (30) days after notification in writing of the other party,such other party shall have the right to cancel this Agreement and the loss and dam ges sustained thereby shall be indemnified by the party responsible for t he nonperformance and/or violation. Further in case of bandruptcy or inso lvency or liquidation or death and/or reorganization by the third party o f the other party ,either party may forth with terminate this Agreement w ithout any notice to the other party.
Article 15. Force Majeure

附：国际销售代理协议解释与分析
(一)概述
国际销售代理协议是国际贸易代理协议的一种。国际销售代理协议是一国的委托人与另一国的代理人之间签订的明确有关与销售的代理权限规定相互权利义务的书面文件。
代理是代理人按照被代理人的授权，代表本人同第三人订立合同或作其他的法律行为，由此而产生的权利与义务直接对委托人发生效力的一种法律制度。在当今的国际贸易中，代理制度的应用很广而且起到了重要的作用。这种国际贸易代理是商业代理，而非一般的民事代理。
在国际销售代理中，对销售代理有不同的分类，如依其代理权限大小划分，可将销售代理商分为总代理商、独家代理商和一般代理商，如依其有无代卖方订立合同的权利划分，可划分为缔约代理商和媒介代理商。
(二)标题
国际销售代理协议的标题首先要明确标明这是代理协议，而非经销协议，而且同时要标明是独家代理或总代理，一般代理，从而明确协议的性质。
在我国实践中，通常有两种做法，一种就是代理仅是推销商品，代理商从中周旋，买卖双方直接订立合同，而代理商吸取一定佣金，这可以说是一种独家媒介代理。另一种是我方与外国代理商直接签订合同并确认代理权，这种代理商既为买方，又为代理。
(三)代理权限
由于不同的代理权限下代理商的权利义务不同，对被代理人的利益影响也不同，所以代理权限的问题是国际销售代理协议中重要的内容。双方当事人在代理协议中必须明确这一问题，以为双方当事人的权利义务划分奠定基础，在这一条款中，主要明确是否给代理商以独家代理权。如授予代理商以某地区的独家代理权，则卖方就不能通过其他途径直接地或间接地在该地区销售。正因如此，卖方在授予代理商以独家代理权时必须要充分考虑到代理商的法律地位，品格及经营能力，一定要慎重行事，否则，如果代理商不努力推销商品的话，就会使卖方处于较被动的地位。
(四)代理产品
这一条款主要规定代理产品的项目、种类及方式。一般有两种方法：一是将卖方的一种或数种产品的代理权赋予代理商，另一种是将卖方所有产品的代理权赋予代理商，对方这一条款，在前一种情况下，在草拟合同时，要将代理产品的有关细节如种类、名称、规格、质量要求等详细订明，以免日后发生纠纷。此外，由于卖方有可能在不断更新某产品，所以双方在合同中还应订明卖方新产品的代理的有关事宜。
(五)代理地区
代理地区范围的大小直接关系着合同双方的利益。在此地区外，双方就不受此条款的限制，在这一条款中，双方一般以国、州、地区等行政区划为标准加以确定代理地区范围。这一条款如不明确，不具体，日后就容易产生纠纷。在确定代理地区时，还要明确代理人在这一地区内对有关商品的订单有无权利，以防止该商品或商标在第三国发生侵权。此外，在确定这一条款时，双方还要注意研究确定的地区的法律，避免国与此地的法律抵触而无效。
(六)最低代理额
在授予独家代理权的情况下，代理商独自享有代理销售权，为避免代理商不尽职责，保护卖方利益，就有必要确定最低代理额，以保护卖方的产品能够顺利销售，在约定这一条款时，必须要综合考虑代理商的代理能力、经营状况，代理地区的经济、社会状况等因素，从而比较科学合理地确定最低代理额。在签订这一条款时，双方要确定最低代理额的计算方法从而有一个固定的数额，而且要规定这一代理额适用或需要变更的期限，以适应形势发展需要，另外，双方还应规定违反此条款的补救方法。
(七)佣金及支付
支付佣金是卖方对代理商所承担的基本的合同义务。双方在这一条款中可以约定佣金的计算方法，如按商品或发票金额计算，或约定一定的佣金比率。此外，双方还要约定佣金的支付方式，一般在国际销售代理协议中多约定定期汇总支付一次。至于具体的结算方式可以参照一般国际贸易的结算方式。
(八)商情报告
这一条款主要是规范代理商应及时向卖方报告其商业活动的情况，以便卖方了解有关信息并采取相应措施。在这一条款中，双方可以约定代理商向卖方报告的时间，如一定时期内汇报，另外，还要约定报告的方式及内容，一般来说，商事报告主要包括代理商的商业活动，市场信息，以及其所在国与此有关的法律、法令及外汇、海关方面的内容。
(九)知识产权的保护
由于国际销售代理协议涉及的对象是产品，就不可避免地要涉及知识产权，其中关系较密切的是商标。而卖方为了保护与产品有关的知识产权在境外不受侵犯，就必须要在协议申明确对与产品有关的知识产权进行保护。如对商标，双方可以约定商标仅用
于代理商品上，在协议终止后，代理商不得继续使用该商标等等。另外，双方还可以约定，如在代理商国内出现侵犯巳卖方知识产权的行为应及时通知卖方，同时双方可以约定在这种情况下，经卖方授权，代理商可以采取必要措施包括代理进行诉讼等保护卖方的知识产权。
(十)订单
前面已经谈到，有的代理商无权代理签订契约，在这种招揽订单的情况下，代理商应将卖方的成交条件及合同一般条款通知顾客，顾客要求订立合同的订单也要及时转交卖方，以供卖方做出决定。在这类条款中双方应规定代理商对订单应做出什么样的处理。
而在代理商有权签订契约的情况时，代理商可以以卖方名义签订订单或销售合同，此时双方应在协议中规定代理商签订契约的条件、并规定代理商签订契约后应及时通知卖方，以便卖方有充分的履约准备时间。

第五条在协议有效期内，甲方不得再就协议规定产品向其他公司授权上诉代理区域内的代理权。 第六条甲方的义务与权力： 1.甲方保证给乙方提供合格产品且不侵害他人的知识产权等合 法权益，并保证乙方的独家代理权且不得直接向代理区域用户销售本协议规定的产品。 2.甲方有义务及时为乙方提供与产品销售相关的技术支持。信 息及资料便于乙方开展销售及宣传工作。 第七条乙方的权力与义务 1.乙方有权根据市场行情，确定产品价格。并以自己的名义联 系方内的用户签订购销合同。 2.乙方对甲方所供的产品相关价格。代理规定等情况严格保密。 不得泄露给第三方。 3.乙方不得经营或者代理其他厂家的同类产品。 第八条保密条款 双方同意对所有使用信息保密，除了用于评估或促成双方之间可能的交易外，任何一方都不得为了其他目的使用这些信息，不向第三方透露任何信息。双方承认并同意，可能或合格的终端用户仅了解所购设备必要知道的技术信息。 第九条本协议的保密条款适用于甲乙双方的下属雇员，管理人员，代理商，经纪人，客服人员，。下属机构和专业顾问。 第十条合作关系的建立和相关约定：
EXCLUSIVITY DISTRIBUTOR AGREEMENT 1.
