NOW THEREFORE in consideration of the mutual promises, assertions and covenants herein and other good and valuable considerations, the receipts of w hich is acknow ledged hereby, the parties hereby agree as follows: 基于本约之合意、声明、约定及其它约因，双方当事人兹就下列各事项达成协议：
1. TERM S AND CONDITIONS／合约条款
A. The parties w ill not in any manner solicit, nor
accept any business in any manner from sources
or their affiliates, w hich sources w ere made
available through this agreement, w ithout the
express per mission of the party w ho made
available the source and,
在未经双方明示许可下，立约双方及其关系企业
皆不得以任何方式要求或接受任何其它第三方所
提供之信息，
B. The parties w ill maintain complete confidentiality
regarding each other bus iness sources and/or
their Affiliates and w ill disclose such business
sources only to the named parties pursuant to the
express written per mission of this party w ho made
available the source, and,
立约各方对另一方之业务和/或其关系企业之信
息，应遵守绝对保密之原则，仅在对方正式书面
许可下方可透露合作方之相关信息
C. That they w ill not in any of the transactions the
parties are desirous of entering into and do, to the
best of their abilities assure the other that the
transaction codes established w ill not be affected.
在任何情况下，双方保证尽力保护其交易数据之
完整性，并尽可能不更动其原始交易代码.
D. That they w ill not disclose names, addresses, e-
mail address, telephone and tele-fax or telex
numbers to any contacts by either party to third
parties and that they each recognize such
contracts as the exclusive property of the
respective parties and they w ill not enter into any contract. For the purpose of clar ity, w e confir m that the closing and completion of each and every shipment shall be deemed to take place w hen the letter of credit issued by the buyer has been draw n dow n at the counters of the issuing bank.

We, the SE LLER, agree to provide all beneficiaries w ith written evidence of the pay orders lodged w ith our bank together w ith acknow ledgements of their acceptance. Further more, our bank shall be instructed to prov ide duly signed and stamped acknow ledgement of this instruction as set out in the annex. For ming part of this agreement. It is understood that for the purposes of this Master Fee P r otection Agreement, our bank shall be the same bank and this IMFPA acts as an integral part of it.

We the undersigned being BUYER or the seller named legally authorized representative as stated w ithin the signed and legally binding main transaction, contract unconditionally agree and undertake to approve and originate all pay ments in USD currency to all beneficiar ies named below as their rightful and payable commissions. This agreement also acts as a record confirming the commission amounts for each named

E. That they further undertake not to enter into
business transaction w ith banks, investors,
sources of funds or other bodies, the names of
which have been prov ided by one of the parties to
this agreement, unless w ritten per mission has
been obtained from the other party (ies) to do so.
For the sale of this agreement, it does not matter
whether infor mation obtained from a natural or a
legal person.
在未经对方书面许可之下，不得与其它银行、投
资者、基金会、或其它在合约中所提及之合作厂
商进行商业活动。基于此份合约，其限制范围不
局限于自然人或法人
F. The parties also undertake not to make use of a
third party to circumv ent this clause.
且立约各方承诺不得利用第三方来规避此条款
G. That in the event of circumvention of this
Agreement by either party, directly or indirectly,
the circumv ented party shall be entitled to a legal
monetary penalty equal to the maximum service it
should realize from such a transaction plus any
and all expenses, including but not limited to all
legal costs and expenses incurred to recover the
lost revenue.
任一方以直接或间接方式违反此份合约者，应付惩罚性违约金，其金额为交易中所得到之最高金额之赔偿，加上所有费用，其中包括但不限于因而致生之法律费用与支出
H. All considerations, benefits, bonuses, participation
fees and/or commissions received as a result of
the contributions of the parties in the Agreement,
relating to any and all transactions w ill be allocated
as mutually agreed.
所有双方因协议中交易所获得的报酬、收益、分
红、参与费用或佣金都将依照彼此最初同意之比TERM & CONDITIONS 合约条款
This master fee protection agreement covers the initial contract and shall include any renew als, extensions, rollovers, additions or any new or transfer contract any how originated from this transaction because of the above inter mediaries or changing codes of the initial contract entered into betw een the BUYER and SELLER.
此不可撤销佣金协议涉及到以上中间人的关系买卖双方签订的初始合同及合同的更新，延展，增补及新的转让合同
This master fee protection agreement and any subsequently issued pay orders shall be assignable, transferable and divisible and shall not be amended w ithout the express written and notarized consent of the receiving beneficiary. All parties agree neither to circumvent nor to attempt circumvent either for the transaction of this current contract or in the future for a period of five (5) years from the date of the execution of this fee protection agreement. This document binds all parties, their employees, associates, transferees and assignees or designees.
此不可撤销的佣金协议及后续的支付凭证是可转让可分割的，没有受益人的书面授权不允许修改。缔约方同意在签订此协议5年内，任何一方都不得设法避开另一方当事人进行交易，此协议涉及的缔约双方及其雇
员，附属机构，转让方及受托代理人
All faxed and/or e-mailed signatures shall be considered as original s ignatures for the purpose of binding all parties to this agreement. This document may be signed & in any number of counterparts all of w hich shall be taken together and shall constitute as being one & the same instrument.
Any party may enter into this document and the agreement constituted thereby by signing any counterpart any time, date or period mentioned in any provision of this document shall only be amended by agreement in writing and signed off by all parties concerned.
经传真和邮件传递单据等同为正本，对缔约双方均具约束力由商品交易合同涉及的相关所有参与人员签订的本协议将保证参与者在商品交易过程中同步存在且作为一个共同体推动合同的进展。

I. This Agreement is valid for any and all transaction
betw een the parties herein and shall be governed
by the enforceable law in All Commonwealth
Country’s, E uropean Union Country’s,Asian’s
Country ,USA Courts, or under Sw iss Law in
Zurich, in the event of dispute, the arbitration law s
of states w ill apply.本合约将规范立约双方之所有
交易活动，并以英联邦国家,欧盟国家,亚洲国
家,美国法院或瑞士苏黎世之法律为准据法，若
有争议，将依照该国仲裁法律解决
J. The signing parties hereby accept such selected jurisdiction as the exclusive venue. The dur ation
of the Agreement shall per petuate for five (5)
years from last date of signing.
立约之双方皆同意以上述法院为专属管辖法院，
合约有效期间自签定日期起五年。
2. AGREEM ENT TO TERMS协议条款
A. Signatur es on this Agreement received by the w ay
of Facsimile, Mail and/or E-mail shall be an
executed contract. Agreement enforceable and
admissible for all purposes as may be necessary
under the ter ms of the Agreement.
任何经由传真、邮寄及电子信件送达之合约经签
署后皆可视为一可履行之契约。此合约在法律上
具有强制性及可接受性，且所有行为皆需受到合
约上条款之规范
B. All signatories hereto acknow ledge that they have
read the foregoing Agreement and by their initials
and signatur e that they have full and complete
author ity to execute the document for and in the
name of the party for w hich they have given their
signature.
本文件之签署人已详细阅读上述之合约，并获得
充分授权后，代表双方当事人缔结之,特此为
证。应协议条款内容需做更改时，相关参与者均需以书面
的形式互相通知且签字盖章表示同意。
Further more, w e agree that any and all commissions due shall be paid to the beneficiary as a result of any extension or rolls of the contract and that w e shall effect all necessary documentation w ith our bank w ithout any undue delays to ensur e such commissions and paid w ithin the ter ms of the agreement.
此外,我们同意在合同有效期内我们将提供所有必须得单据给银行以确保好不延误的支付佣金给相关受益人
PARTIAL INVALIDITY: 部分无效
The illegality, invalidity and non-enforceable provision of this document under the law s of any jur isdiction shall not affect its illegality, validity or enforceability under the law
o f any other jurisdiction or provision.
任何司法管辖区法律法规外的本协议下非法、无效、不执行合同的条款将不会影响其他司法管辖区法律法规下的非法、有效性或合同的可执行性
GOV ERNING LAW AND JURISDICTION:适用法律
This document shall be governed & construed in accordance w ith current E nglish or I.C.C 400/500/600 signed betw een partners NCND law s.
此协议将遵守国际商会400/500/600号出版物的相关规则
ARBITRATION:仲裁
All parties agree to refer any disputes betw een the parties arising out of or in connection w ith this agreement including any questions regarding its existence, validity or ter mination to arbitration rules of the international arbitration centre (I.A.C). The appointed arbitrator shall hold the pr oceedings in any country chosen by the parties and the rules of the IA C shall apply.
This document is signed and accepted by parties named below as to be included in the main contract.
协议各方均同意将双方之间的各方所产生的或与此有关的任何问题，包括它的存在，效力或终止向国际仲裁中心（IAC）的仲裁规则协议有关的任何纠纷。由双方选定的指定协调人应根据IAC国际贸易规则处理相关事务。本文件有此商品交易合同下的各方共同认可且批准
